Terms & Conditions Purchasing

These Terms and Conditions of Purchasing ("Terms") apply to all purchases of goods and services by Berel Aero and its affiliated entities ("Berel Aero", "Buyer") from suppliers ("Supplier"). By accepting a purchase order or supplying goods or services, the Supplier agrees to these Terms unless otherwise agreed in writing by Berel Aero.

1. Purchase Orders

Orders are placed by Berel Aero in writing (including by email or through agreed systems). The order constitutes the entire agreement unless varied in writing by Berel Aero. Supplier must confirm acceptance and any deviations in writing.

2. Prices and Payment

Prices are as stated in the purchase order. Payment will be made in accordance with the payment terms set out in the order or as otherwise agreed. Supplier must issue correct and timely invoices. Berel Aero may set off any amounts owed by Supplier against amounts due to Supplier.

3. Delivery and Performance

Supplier shall deliver in accordance with the delivery dates and instructions in the order. Time is of the essence where stated. Risk of loss or damage remains with Supplier until delivery to Berel Aero at the agreed location. Late delivery may result in claims for delay and/or cancellation.

4. Quality and Compliance

Goods and services must conform to the order, applicable specifications, and all relevant laws and regulations. Supplier shall provide all required documentation, including certifications, traceability, and compliance evidence. Berel Aero may inspect and reject non-conforming goods or services.

5. Warranty and Indemnity

Supplier warrants that goods and services are free from defects and fit for purpose. Supplier shall indemnify Berel Aero against any claims, losses, or costs arising from breach of these Terms, defective goods or services, or infringement of third-party rights.

6. Confidentiality and Data

Supplier shall keep confidential all information received from Berel Aero and use it only for performing the order. Where personal data is processed, Supplier shall comply with applicable data protection law and act only on Berel Aero's instructions.

7. Governing Law and Disputes

These Terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the exclusive jurisdiction of the courts of the Netherlands, unless mandatory law requires otherwise.
