Terms & Conditions Sale

These Terms and Conditions of Sale ("Terms") apply to all sales of goods and services by Berel Aero and its affiliated entities ("Berel Aero", "Seller") to buyers ("Buyer"). By placing an order or accepting delivery, the Buyer agrees to these Terms unless otherwise agreed in writing.

1. Orders and Acceptance

All orders are subject to acceptance by Berel Aero. A contract is formed when Berel Aero confirms the order in writing or by delivery. Berel Aero reserves the right to refuse or cancel orders at its discretion.

2. Prices and Payment

Prices are as quoted and are exclusive of VAT, taxes, and duties unless otherwise stated. Payment terms are as agreed in the order or invoice. Late payment may attract interest and recovery costs. Title in goods remains with Berel Aero until full payment is received.

3. Delivery and Risk

Delivery dates are estimates only. Risk of loss or damage passes to the Buyer upon delivery to the agreed location or carrier. Berel Aero is not liable for delay caused by circumstances beyond its reasonable control.

4. Quality and Certifications

Goods are supplied with documentation as described in the order. Buyer is responsible for verifying that goods and certifications meet their requirements before use. Complaints must be notified in writing within the period specified in the order or within a reasonable time.

5. Warranty and Limitation of Liability

Warranties are limited to those expressly given in the order or in writing. To the maximum extent permitted by law, Berel Aero's liability is limited to the purchase price of the relevant goods or services. Berel Aero is not liable for indirect, consequential, or punitive damages.

6. Returns and Cancellation

Returns and cancellations are subject to Berel Aero's prior written agreement and may be subject to restocking or other charges. Non-standard or custom items may not be returnable.

7. Governing Law and Disputes

These Terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the exclusive jurisdiction of the courts of the Netherlands, unless mandatory law requires otherwise.
